Terms of Service

1. Acceptance of Terms

By accessing or using the Nairux platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Service Description

Nairux is a network intelligence and automation platform that provides network discovery, compliance management, remediation, automation, and intelligence capabilities. The Service is available in three editions (Community, Professional, Enterprise) and three deployment models (SaaS, On-Premises, Air-Gapped).

3. Accounts & Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration and keep your account information up to date.

You must immediately notify Nairux of any unauthorized use of your account or any other security breach.

4. Licensing & Subscriptions

Access to the Service is governed by the license granted under your subscription agreement. Subscription licenses require active payment to maintain access. Perpetual licenses grant permanent use of the licensed version, with optional annual maintenance for updates and support.

The Community Edition is provided free of charge with device, user, and agent limitations as described on the pricing page.

5. Acceptable Use

You agree not to: use the Service to violate any applicable law or regulation, attempt to gain unauthorized access to any systems or networks, interfere with or disrupt the integrity of the Service, reverse engineer, decompile, or disassemble any part of the Service, or use the Service to develop a competing product.

6. Data Ownership

You retain all rights to your data. Nairux does not claim ownership of any data processed through the platform, including network configurations, compliance findings, and device inventory data.

For SaaS deployments, we process your data solely to provide the Service. For on-premises and air-gapped deployments, your data never leaves your infrastructure.

7. Service Availability

For SaaS deployments, we target 99.9% uptime availability, measured monthly. Scheduled maintenance windows will be communicated at least 48 hours in advance. For on-premises and air-gapped deployments, availability is the responsibility of the customer.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Nairux shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claims arising under these terms shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Nairux and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising out of your use of the Service or your violation of these terms.

10. Termination

Either party may terminate the subscription with 30 days written notice. Nairux may immediately terminate or suspend your access if you violate these terms. Upon termination, your right to use the Service ceases, and we will provide a reasonable period for data export (SaaS deployments).

11. Changes to Terms

We may modify these terms at any time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the modified terms.

12. Governing Law

These terms are governed by and construed in accordance with applicable law. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
